We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the email and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgement, appear to be placed by dealers, resellers or distributors.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store or made through the Website. If you choose to access this Website from any location outside Poland, you do it deliberately and are responsible for compliance with local laws.

19. MODIFICATIONS

Prices for our products are subject to change at any time without notice. We reserve the right to modify or discontinue the services or products (or any part or content thereof) at any time without notice. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the services or products.

20. ORDERS & PAYMENTS

Orders can be placed directly via the Order page. You need to fill the order form, so we can prepare a Proforma invoice regarding the ordered product(s). When you provide us with personal information to complete an online transaction, verify your credit or debit card, create an invoice, place an order, arrange for a delivery or return a purchase, we imply that you consent to us collecting that information and using it for that specific reason only. More information can be found in our Privacy Policy.

After placing an order, we will prepare a Proforma invoice for you to pay against. 100% of the unit price must be pre-paid. Currently we accept only standard bank transfers and PayPal payments. As soon as we receive the payment on our account, a Prepayment invoice will be issued and the production process starts. When completed and ready to ship, we will send you another Proforma with the shipping charge to pay. Once the shipping has been paid, we will ship your order within 48 working hours.

Any placed order can be cancelled at no cost to the customer if no payments have been made - in such case, no material has been ordered and/or labor undertaken.

21. BUILD TIME AND SHIPPING

Each of our products is made by hand especially upon your order. It is very difficult to estimate the average build time of certain order, however we do so every time while placing an order or on request by the customer. Given build time may vary mostly due parts availability as we do not stock up any bigger quantities of components in advance required to fulfill any placed order. We reserve the right to change or modify the build time required at any time without notice.

Once your order is finished and ready to be shipped, it will be generally shipped within 48 hours via service agreed in advance with the customer. The customer shall receive an email from us containing the relevant shipping information. Depending on service used, a customer’s signature may be required.

It is the customer’s responsibility to provide the correct and detailed shipping information while ordering. Henderson Audio is not responsible in any way for any shipping address or return address errors. If a certain order will be returned to the Henderson Audio due to a shipping address error made by the customer the shipping price for such order will be re-charged, as well as any other necessary fees that may occur during transit (e.g. customs fees, etc.).

If any ordered items are impossible to deliver for any reason, including transit errors or customer refusal to pay any fees and/or duties, Henderson Audio is not responsible for any return shipping costs or for retrieving merchandise. Henderson Audio is not responsible for any shipping delays (such as customs delays), nor for any customs fees, additional taxes or other duties, that may be issued by the customer's respective location/country. The Manufacturer is not responsible for any damaged, lost, stolen, wrongly forwarded or inappropriately delivered shipments. The customer assumes all responsibilities of claims made with the shipping carrier and all duties/fees incurred on the shipment.

22. WARRANTY AND RETURN POLICY

If you are not completely satisfied with your Henderson Audio equipment purchase please contact us within 14 days of receiving your order to discuss a refund or exchange. Products that are subject to refund or exchange must be unused, in original condition, without any damage from the user, in all original packaging, and the shipping box content should be exactly the same as was delivered to the buyer. The buyer is responsible for all return shipping costs and any other necessary fees during transit - if applicable (customs fees, etc.). All refunds exclude taxes, import duties and any other fees that were associated with the purchase. No exchanges or refunds are permitted on custom orders. Any modification carried out by the Manufacturer on request of the buyer, even if available as a non-standard option or custom option is considered as a custom order.

In case of returning the product(s), we charge a fee of 10% of the total item(s) value including shipping. A fee of 10% of the total order value will also be charged, if the customer decides to terminate the order while a payment has been made and manufacturing process has started.

All of our products come with an international, non-transferable warranty. Limitations apply. The warranty period is expressed on the product's Warranty Card, shipped with your unit - as well as given on the product's webpage. Terms & conditions regarding warranty of certain product can be found on the Warranty page. The warranty applies only to the original purchaser and is not transferable in any way.

Please never do attempt repairing an item yourself prior to contacting Henderson Audio.

If you experience any problems with the device that may indicate a malfunction, please contact us directly. Always report and describe the problem before shipping the device. If the problem persists, we undertake warranty inspection (and repair if necessary) as soon as the product reaches our destination. If during such warranty inspection there will not be found any issue reported by the customer, we charge a fee of 50.00 EUR (incl. VAT) for carried service review.

The customer is responsible for shipping costs of returning the product(s) back to Henderson Audio. The customer is also responsible for the subsequent costs of shipping the product back to the customer once repair/exchange has been completed. Please contact us for more info regarding re-shipping quotations.

23. MISCELLANEOUS

You may not sub-license, assign, or otherwise transfer any of your rights under these Terms. We shall not be liable and responsible for any breach of these Terms caused by any circumstances beyond our control. A violation or breach of any of the Terms will result in an termination of your Services immediately. You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction, state, or country (including but not limited to any copyright laws). Furthermore, Henderson Audio should not be liable for any misunderstandings or ambiguity resulting from typographical errors or arising from the improper translation or creation of any documents, both in original or translated language. All product names, logos, and brands are property of their respective owners. All third-party company, product and service names used on this Website are for identification purposes only. Use of these names, logos, and brands does not imply endorsement. All products manufactured by the Henderson Audio are the intellectual property of Henderson Audio. All products offered on the Henderson Audio Website are the intellectual property of Henderson Audio. Any other than intended use of products manufactured by Henderson Audio, including copying of the technologies used, redrawing schematics, selling parts of the products without the Manufacturer’s knowledge and written permission, and performing any other activities/actions that may lead the company to financial losses and other, are strictly prohibited.

24. TERMINATIONS

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by notifying us that you no longer wish to use our Services, or when you cease using our Website. If in our sole judgement you fail, or we suspect that you have failed, to comply with any term or provision of these Terms, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination - and/or accordingly may deny you access to our Services (or any part thereof).
